{"id":2463,"date":"2026-01-01T16:44:13","date_gmt":"2026-01-01T15:44:13","guid":{"rendered":"https:\/\/marcetic.hr\/?p=2463"},"modified":"2026-01-01T16:44:13","modified_gmt":"2026-01-01T15:44:13","slug":"ugovor-o-kupoprodaji-sto-mora-sadrzavati-i-na-sto-paziti","status":"publish","type":"post","link":"https:\/\/marcetic.hr\/index.php\/2026\/01\/01\/ugovor-o-kupoprodaji-sto-mora-sadrzavati-i-na-sto-paziti\/","title":{"rendered":"UGOVOR O KUPOPRODAJI \u2013 \u0160TO MORA SADR\u017dAVATI I NA \u0160TO PAZITI"},"content":{"rendered":"\n<h2 class=\"wp-block-heading has-base-color has-contrast-background-color has-text-color has-background has-link-color wp-elements-9faa4f6fa712a23bac39b8e1e28786f1\">Ugovor o kupoprodaji &#8211; \u0161to mora sadr\u017eavati i na \u0161to paziti<\/h2>\n\n\n\n<h2 class=\"wp-block-heading\">\u0160to je ugovor o kupoprodaji?<\/h2>\n\n\n\n<p>Ugovorom o kupoprodaji prodavatelj se obvezuje predati kupcu odre\u0111enu stvar ili pravo, a kupac se obvezuje platiti ugovorenu cijenu i preuzeti predmet kupoprodaje.<\/p>\n\n\n\n<p>Radi se o jednom od naj\u010de\u0161\u0107ih ugovora u praksi, koji se koristi kod kupnje:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>nekretnina<\/li>\n\n\n\n<li>vozila<\/li>\n\n\n\n<li>opreme i robe<\/li>\n\n\n\n<li>ali i kod prijenosa odre\u0111enih prava<\/li>\n<\/ul>\n\n\n\n<p>I upravo zato je va\u017eno razumjeti \u0161to takav ugovor mora sadr\u017eavati. <\/p>\n\n\n\n<p>Institut kupoprodaje ure\u0111en je \u010dlancima 376. &#8211; 475. <a href=\"https:\/\/www.zakon.hr\/z\/75\/zakon-o-obveznim-odnosima\" title=\"\">Zakona o obveznim odnosima<\/a>, a u nastavku \u0107emo navesti njegove najbitnije karakteristike.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Oblik ugovora \u2013 mora li biti pisan?<\/h2>\n\n\n\n<p>U pravilu:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>kupoprodaja nekretnina<\/strong> \u2192 <strong>obvezno pisani oblik<\/strong><\/li>\n\n\n\n<li><strong>ostali kupoprodajni ugovori<\/strong> \u2192 mogu biti i usmeni<\/li>\n<\/ul>\n\n\n\n<p>Me\u0111utim, u praksi se <strong>pisani oblik uvijek preporu\u010duje<\/strong>, jer \u0161titi obje strane i olak\u0161ava dokazivanje prava ako do\u0111e do spora.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Bitni sastojci ugovora o kupoprodaji<\/h2>\n\n\n\n<p>Da bi ugovor imao pravni u\u010dinak odnosno bio valjan on mora sadr\u017eavati barem ove elemente:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>1. Predmet kupoprodaje (stvar ili pravo)<\/strong><\/h3>\n\n\n\n<p>Predmet mo\u017ee biti:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>pokretna stvar (npr. vozilo, oprema)<\/li>\n\n\n\n<li>nepokretna stvar (nekretnina)<\/li>\n\n\n\n<li>pravo (npr. autorsko pravo)<\/li>\n<\/ul>\n\n\n\n<p>Va\u017eno je da:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>stvar <strong>mora biti u pravnom prometu<\/strong> (nije mogu\u0107e prodati stvari izvan prometa kao \u0161to je npr. more ili morska obala)<\/li>\n\n\n\n<li>mo\u017ee biti i <strong>budu\u0107a stvar<\/strong> ( npr. brod koji se tek ima izgraditi) <\/li>\n\n\n\n<li>prodavatelj <strong>ne mora nu\u017eno biti vlasnik<\/strong>, ali tada postoje posebna pravila<\/li>\n<\/ul>\n\n\n\n<p>Kupoprodaja <strong>tu\u0111e stvari obvezuje ugovorne strane<\/strong>, ali kupac koji nije znao (niti morao znati) da je stvar tu\u0111a, mo\u017ee u odre\u0111enim slu\u010dajevima raskinuti ugovor i tra\u017eiti naknadu \u0161tete.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>2. Cijena<\/strong><\/h3>\n\n\n\n<p>Cijena mora biti:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>odre\u0111ena<\/strong> (to\u010dan iznos) ili<\/li>\n\n\n\n<li><strong>barem odrediva<\/strong><\/li>\n<\/ul>\n\n\n\n<p>Ako cijena nije ni odre\u0111ena ni odrediva \u2013 <strong>ugovor nema pravni u\u010dinak<\/strong>.<br>Dakle, nije mogu\u0107e sklopiti ugovor o kupoprodaji pa zatim naknadno odrediti cijenu. <\/p>\n\n\n\n<p>Kod trgova\u010dkih ugovora (koji se sklapaju izme\u0111u trgovaca\/pravnih osoba koje obavljaju neku djelatnost) postoji iznimka, gdje se cijena mo\u017ee utvrditi prema:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>uobi\u010dajenoj tr\u017ei\u0161noj cijeni<\/li>\n\n\n\n<li>ili prema odluci suda ako se ne mo\u017ee druga\u010dije (max-width: 1024px) 100vw, 1024px\" \/><\/figure>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Kupoprodaja prava <\/strong><\/h3>\n\n\n\n<p>Kod <strong>kupoprodaje prava<\/strong> ne prodaje se stvar, nego <strong>neko imovinsko pravo<\/strong>, npr.:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>pravo potra\u017eivanja novca<\/li>\n\n\n\n<li>pravo kori\u0161tenja<\/li>\n\n\n\n<li>autorsko ili srodno pravo<\/li>\n\n\n\n<li>udio u nekom pravu<\/li>\n<\/ul>\n\n\n\n<p>Drugim rije\u010dima:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p><strong>predmet kupoprodaje nije fizi\u010dki predmet, nego pravna ovlast<\/strong>.<\/p>\n<\/blockquote>\n\n\n\n<p>Spornim pravom mo\u017ee se trgovati, ali postoje iznimke.<\/p>\n\n\n\n<p>Primjerice, odvjetnik ili nalogoprimac ne smije kupiti sporno pravo \u010dije mu je ostvarivanje povjereno.<\/p>\n\n\n\n<p>Takvi ugovori su ni\u0161tetni.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Za\u0161to je va\u017eno pravilno sastaviti ugovor o kupoprodaji?<\/h2>\n\n\n\n<p>Dobro sastavljen ugovor:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>sprje\u010dava nesporazume<\/li>\n\n\n\n<li>jasno definira prava i obveze<\/li>\n\n\n\n<li>smanjuje rizik skupih i dugotrajnih sudskih sporova<\/li>\n<\/ul>\n\n\n\n<p>No, u praksi se mnogi problemi javljaju ne zato \u0161to ugovor ne postoji, ve\u0107 zato \u0161to nije precizno sastavljen.<br>Vrlo je \u010dest slu\u010daj gdje se kod kupoprodaje koriste takozvani &#8220;\u0161prancirani&#8221; ugovori. <br>Iako oni mogu biti odli\u010dna polazna to\u010dka, svaki pravni odnos valja tuma\u010diti samostalno te ne postoji univerzalni ugovor koji mo\u017ee predvidjeti sve. <\/p>\n\n\n\n<p>Upravo zbog toga bitno je prije sastavljanja kupoprodajnog ugovora posavjetovati se s odvjetnikom, a naro\u010dito kada se radi o kupoprodaji nekretnina ili stvari i prava ve\u0107e vrijednosti. <\/p>\n\n\n\n<p>Na \u0161to osobito obratiti pozornost prilikom kupoprodaje nekretnine mo\u017eete pro\u010ditati u na\u0161em<a href=\"https:\/\/marcetic.hr\/index.php\/2025\/12\/14\/kako-provjeriti-nekretninu-prije-kupnje\/\" title=\"\"> <span style=\"text-decoration: underline;\">\u010dlanku<\/span><\/a>.<\/p>\n\n\n\n<p>Ako
